RESALE POLICY

Thank you for partnering with Essence as an authorized wholesale customer. To protect the integrity of the Essence brand, ensure consistent customer experience, and maintain fair pricing across all channels, all wholesale purchasers must agree to the following resale policy as a condition of purchase.

Authorized Resale Channels

Products purchased through the Essence wholesale platform ("Wholesale Products") are intended for resale through the following channels only:

• Your own branded retail website or e-commerce store
• Your own physical retail storefront(s)
• In-person events, markets, and pop-ups you operate

Prohibited Marketplaces

Wholesale Products may not be listed, advertised, offered for sale, or sold on the following third-party marketplaces, or any similar platform, without prior written consent from Essence:

• Amazon
• eBay
• TikTok Shop
• Etsy
• Walmart Marketplace
• Whatnot
• Poshmark

This list is illustrative and not exhaustive. The restriction applies to any current or future third-party marketplace, livestream selling platform, or aggregator site not explicitly authorized in writing by Essence Corporate.

Requesting Written Consent

Wholesale customers who wish to list Wholesale Products on any of the platforms above must submit a written request to Essence Corporate and receive express written approval prior to listing. Approval, if granted, may be subject to additional terms, including but not limited to pricing guidelines, brand presentation standards, and geographic or category restrictions. Approval for one marketplace does not extend to any other marketplace, and Essence Corporate may revoke consent at any time.

Enforcement

Violation of this policy may result in one or more of the following actions at Essence Corporate's sole discretion:

• Immediate suspension or termination of wholesale account privileges
• Cancellation of pending or future orders
• Forfeiture of wholesale pricing and reversion to standard retail terms
• Requirement to remove unauthorized listings within a specified timeframe
• Legal action to enforce this policy and protect Essence's brand, pricing structure, and marketplace relationships

Acknowledgment

By placing an order through the Essence wholesale platform, the purchaser acknowledges that they have read, understood, and agree to be bound by this Resale Policy.

Hone, LLC reserves the right to modify this policy at any time. Continued use of the wholesale platform after changes constitutes acceptance of the updated policy.
